OEX Canada Limited Website Terms of Use

These Terms of Use (“Terms”) govern your access to and use of [OEX.com] (the “Website”), operated by OEX Canada Limited (“OEX Canada”, “we”, “us” or “our”). Please read these Terms before using the Website. By using the Website, you agree to these Terms. If you do not agree, please do not use the Website. These Terms apply to Website use; the provision of financial services is addressed in a separate Client Agreement.

1 Who we are

OEX Canada Limited is a corporation incorporated under the Canada Business Corporations Act, corporation number 1526293-3. Its former legal name was WEB3EXCHANGE LIMITED. OEX Canada is registered with the Financial Transactions and Reports Analysis Centre of Canada (“FINTRAC”) as a money services business under registration number M23760780.

2 Scope of these Terms

These Terms cover the Website and general information published on it. Descriptions of payment, foreign exchange, virtual currency or other services are informational and do not constitute an offer to provide a service in any jurisdiction or to any particular person.

If we offer you services, the applicable customer or merchant agreement, fee disclosures and any product specific terms that you accept (together, the “Client Agreement”) will govern those services. In a conflict concerning the services, the Client Agreement prevails over these Website Terms. Our Privacy Policy describes our handling of personal information. Our Complaint Handling Procedure explains how to raise concerns. Neither document is intended to reduce rights that applicable law gives you.

3 Geographic availability and eligibility

The Website may be accessible from many jurisdictions, but this does not mean that OEX Canada may offer services in all of them. Availability depends on the requested product, your location and status, applicable laws, the relevant service provider, and our onboarding and risk assessment. OEX Canada may decline an application, restrict a product or refuse a transaction where required by law or justified under its disclosed terms and risk controls.

We do not offer services where doing so would breach applicable law, including Canadian sanctions or other sanctions that apply to OEX Canada or the transaction. Services are not directed to a jurisdiction where we are not permitted to market or provide them. If you are in the United Kingdom, European Union or another jurisdiction with distinct licensing or promotion requirements, we will assess those requirements before accepting you or making a service available. A request initiated by you does not by itself establish that a service can lawfully be provided. Neither Website access nor successful identity verification guarantees eligibility or approval.

4 Regulatory status and important information

Registration with FINTRAC does not constitute a licence, regulatory endorsement or approval of OEX Canada’s services and does not authorise the provision of services outside Canada.

OEX Canada is not a bank. A customer profile or service dashboard, if offered, is not itself a bank deposit account.

Virtual currency values can fluctuate significantly. Blockchain transfers may be irreversible, and their legal treatment differs by jurisdiction. Website content is general information and is not financial, investment, tax or legal advice.

5 Account registration and security

Any account or service application is subject to eligibility, identity and business verification, sanctions and other required checks, acceptance of the applicable Client Agreement and our approval. You must provide accurate, current information and promptly update it. You are responsible for safeguarding your credentials and promptly notifying us at support@oex.com if you suspect unauthorised use. We may suspend Website access where reasonably necessary for security, legal compliance or investigation, subject to the Client Agreement and applicable law.

6 Acceptable use of the Website

You must use the Website lawfully and must not:

  • Engage in fraud, money laundering, terrorist financing, sanctions evasion or another unlawful activity.
  • Interfere with the Website or its security, introduce malicious code or attempt unauthorised access.
  • Misrepresent your identity or location, or use a proxy or other method to evade an applicable eligibility restriction.
  • Scrape, copy or extract Website content using automated means without our written permission, except as allowed by law or standard search engine indexing.

7 Intellectual property

The Website’s content, design, software, names and logos are owned by or licensed to OEX Canada or their respective owners and are protected by applicable intellectual property law. You may view and use the Website for its intended purpose. You may not reproduce or distribute Website content for commercial purposes without permission, except where the law allows it. Nothing in these Terms gives you ownership of our trade names or marks.

8 Third party links and service providers

The Website may link to third party websites or refer to independent service providers. We do not control external websites and are not responsible for their content or practices. OEX Canada will not treat this Website clause as excluding responsibility that applicable law or the Client Agreement assigns to it.

9 Privacy and cookies

We handle personal information as described in our Privacy Policy, subject to the Personal Information Protection and Electronic Documents Act and any other privacy law applicable to the activity. The Website may use cookies and similar technologies as described in Cookie Policy.

10 Website availability and liability

We take reasonable steps to maintain the Website, but it may be unavailable, inaccurate or interrupted from time to time. To the extent permitted by applicable law, the Website is provided “as is” and “as available”, without a promise that it will always be secure or error free. OEX Canada is not liable for losses arising solely from reliance on general Website information or an interruption of Website access, except to the extent such liability cannot lawfully be excluded. Nothing in these Terms excludes liability for fraud or other liability that applicable law prohibits us from excluding. Liability relating to transactions or services is governed by the Client Agreement and applicable law.

11 Changes to these Terms

We may update these Terms by publishing a revised version on the Website with its effective date. Material changes will be communicated where required by law. A change to the Client Agreement is governed by that agreement and any applicable notice requirement. Continued Website use after a revised version takes effect indicates acceptance of the revised Website Terms to the extent permitted by law.

12 Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there. Subject to mandatory consumer protection and jurisdiction rules that cannot be excluded, disputes about the Website shall exclusively be brought before the courts of that province. Your rights under mandatory laws that apply to you remain unaffected.
